2. PURPOSE AND ACCEPTANCE OF TERMS
These Terms and Conditions govern the sale of fresh and processed food products through the Humus Farm website. Placing an order implies full acceptance of these terms by the Customer.
We reserve the right to modify these Terms at any time, with immediate effect from publication on the website. The Customer is required to periodically check for any updates.
3. DEFINITIONS
For the purposes of these Terms, the following definitions apply:

- Private Customer: a natural person who purchases for personal, non-professional use.
- B2B Customer (Restaurant): a professional operator (restaurant, bar, agritourism business, etc.) holding a VAT number, who purchases for commercial purposes.
- Pickup Point: the physical location chosen by the Customer among those available, where the ordered goods are delivered.
- Products: fresh, processed, and pantry food items available in the online catalogue.
- Private Customer: a natural person who purchases for personal, non-professional use.

4. REGISTRATION AND ACCESS TO THE SERVICE
4.1 Private Customers
Access to the price list for Private Customers is free and available to all website users.
Days for placing orders: orders may only be placed on Saturdays and Sundays.
4.2 B2B Customers (Restaurants)
Access to the price list reserved for professional operators is subject to:
- Direct contact with the owner (info@humus-farm.it) for:
- Registration of customer details
- Verification of an active VAT number and proper registration with the Chamber of Commerce
- Possible request for additional documentation (Chamber of Commerce certificate, etc.)
- Provision of login credentials for the B2B price list
- Definition of delivery/pickup arrangements for the goods
Days for placing orders: orders may only be placed on Saturdays and Sundays.
We reserve the right to accept or refuse access to the B2B price list without any obligation to provide reasons, as well as to suspend or revoke access at any time.
5. PRICES AND DIFFERENTIATED PRICE LISTS
Private Customer Price List:
- Prices include VAT on products and transport
- All displayed amounts are final and include all applicable taxes
B2B Price List (Restaurants):
- Prices shown do not include VAT. VAT will be calculated on the payment page.
- 4% VAT applies to fresh fruit and vegetable products
- 22% VAT applies to transport
B2B prices are justified by professional supply conditions, different quantities, and specific payment terms. This differentiation is in line with standard commercial practice in the food sector.
All prices are quoted in Euro (€) and are valid at the time of the order. We reserve the right to change the price lists at any time; however, the prices in effect at the time the order is placed will apply.
6. GIFT VOUCHERS AND DISCOUNTS
6.1 Gift Vouchers
Gift vouchers may be purchased for any value chosen by the Customer, ranging from €0.01 to €99.00.
Terms of use:
- Usable exclusively on the Private Customer price list
- Valid for both the purchase of catalogue products and transport costs
- The gift voucher is treated the same as a physical product and will be delivered to the Customer together with the other ordered products, at the chosen Pickup Point. For different requirements, please contact info@humus-farm.it
- Gift vouchers are non-refundable and cannot be converted into cash
- If an order is of lower value than the voucher, the remaining credit stays available for future orders
- No expiry date is set, unless otherwise indicated on the voucher itself
6.2 Discounts for Private Customers
Private Customers receive a 10% discount once a minimum spend of €50.00 on catalogue products is reached, calculated net of VAT and any transport costs.
Conditions of application:
- The discount applies exclusively to the products purchased
- The discount does not apply to transport costs
- The discount is calculated automatically at checkout once the minimum requirements are met
7. HOW TO PLACE ORDERS
Orders can be placed using the shopping cart on the website. Once the order is completed, the Customer will receive a copy of the sales document by email and/or will be able to download it directly from the order confirmation page.
B2B Customers (Restaurants): once the order is completed, the order receipt will automatically be sent to the email address provided when the agreement for access to the B2B price list was set up with the owner. Once preparation of the order is complete, a DDT (Transport Document) will be sent, including any corrections in case of total or partial unavailability of the ordered products.
The order is considered binding once the Customer completes the purchase process. We reserve the right to confirm the availability of the ordered products within 3 business days of the order.
8. PRODUCT AVAILABILITY
Given the perishable, fresh, and seasonal nature of the products offered, the availability shown on the website is purely indicative and does not constitute a guarantee of actual availability.
If one or more products become unavailable after the order has been accepted, we undertake to:

- Contact the Customer to propose an equivalent product
- Partially cancel the order and issue a credit for the value of the difference
- Cancel the order with a full refund, if the Customer does not accept the alternatives proposed

8 BIS. NATURAL WEIGHT VARIATION
Fresh food products (fruit, vegetables, and fruit and vegetable products) are subject to natural weight variation due to physiological loss, moisture loss, and the organic characteristics typical of agricultural products. The weight indicated for each product or package should be understood as an average reference weight. Natural fluctuations may occur without any change to the agreed price, which remains fixed. The Customer accepts this natural weight variability, which does not constitute a lack of conformity of the product.
Products from other producers: for packaged products from other producers, reference should be made to the weight and characteristics indicated on the producer's own labeling.
9. PAYMENT METHODS
9.1 Private Customers
Private Customers may choose between the following payment methods:

- Prepaid online payment: Satispay, PayPal, or Debit/Credit Cards at the time of the order
- Payment on pickup: cash at the Pickup Point

9.2 B2B Customers (Restaurants)
B2B Customers have access exclusively to deferred payment, invoiced at the end of the month, under the following conditions:
- Invoicing method: at the end of the month, all DDTs (Transport Documents) issued during the month will be totaled and a single summary invoice will be issued
- First order: the granting of deferred payment is subject to verification of the Customer's reliability.
The granting of deferred payment is at our sole discretion and may be revoked at any time.
Electronic invoicing: an electronic invoice is issued for B2B Customers through the Exchange System (SDI), as required by current regulations.
Late payments: in the event of late payment of invoices, the B2B Customer will automatically lose access to ordering until the amount owed has been paid in full. Statutory late-payment interest will apply (Legislative Decree 231/2002).
10. COLLECTION OF GOODS
Products are delivered exclusively at Pickup Points chosen by the Customer, located in the province of Cuneo. No home delivery by courier is provided.
The day and time available for pickup are indicated in the purchase document the Customer receives upon completion of the order.
Obligation of timely pickup: the Customer must show up on the agreed day and time. If this is not possible, at least 24 hours' notice must be given in order to arrange a new date.
10.1 Failure to Collect Goods - Private Customers
In the event a Private Customer fails to collect their order:

- Payment already made online: the order is considered completed. The goods were made available to the Customer and no refund is provided for failure to collect them.
- Payment on pickup: the order is canceled with no penalty applied. However, in the event of repeated failures to collect orders, we reserve the right to require advance payment exclusively for future orders.

10.2 Failure to Collect Goods - B2B Customers
For B2B Customers with deferred payment, failure to collect ordered goods results in:

- Issuance of an invoice for 50% of the order amount, as reimbursement for handling costs and spoilage of goods
- Suspension of deferred payment for the next three orders (advance payment mandatory)
- In the event of a second failure to collect: permanent suspension of access to the B2B price list

Please note that "failure to collect" means failing to show up on the agreed day and time without giving at least 24 hours' notice.
11. TRANSFER OF LIABILITY
At the time of pickup, liability for the goods is transferred entirely to the Customer. From that moment on, the Customer is responsible for properly storing the products in accordance with the instructions on the labels.
Humus Farm cannot be held liable for deterioration of the goods due to:

- Inadequate storage after pickup (lack of refrigeration, exposure to heat sources, etc.)
- Delayed consumption beyond expiry dates or best-before dates
- Handling or contamination occurring after pickup

12. RIGHT OF WITHDRAWAL AND RETURNS
Exclusion of the right of withdrawal: pursuant to Article 59, paragraph 1, letter c) of the Italian Consumer Code (Legislative Decree 206/2005), the right of withdrawal does NOT apply to contracts for the supply of sealed goods which are not suitable for return for hygiene or health-protection reasons and which were opened after delivery, nor to goods that are perishable or likely to deteriorate or expire rapidly. Therefore, due to the food and perishable nature of the products offered, the Customer may not exercise the right of withdrawal and may not return the goods after pickup.
12.1 Conformity Guarantee
Humus Farm guarantees the conformity of the products sold according to the following timeframes, depending on the type of product:

- Fresh products (fruit, vegetables, fruit and vegetable products): the conformity guarantee is valid for 24 hours from pickup. Any defects or non-conformities must be reported within this period.
- Pantry products (preserves, flours, long-life packaged products): the guarantee is valid until the expiry date or minimum durability date (TMC) indicated on the label, provided the Customer complies with the storage instructions on the packaging.
- Products from other producers: for packaged products from other producers, the guarantee follows what is indicated on the producer's own labeling.

Unless proven otherwise, any non-conformity that becomes apparent within 2 (two) years from the date of delivery of the goods is presumed to have existed at that date, unless this is incompatible with the nature of the goods or with the non-conformity in question.
12.2 Procedure for Reporting Defects
Without prejudice to the above, in the event of defective, incorrect, or non-conforming goods, the Customer must:

- Check the goods at the time of pickup or immediately afterward
- Report the problem no later than 24 hours after pickup, by sending an email to info@humus-farm.it including:
- First and last name under which the order was placed.
- Description of the problem.
- Clear photographs of the defective goods.

Once the validity of the report has been verified, we will replace the defective goods or issue a partial or full credit. Reports submitted after 24 hours cannot be accepted.
13. WARRANTIES AND PRODUCT QUALITY
Humus Farm guarantees that all products sold:

- Comply with the hygiene and health standards required by current regulations
- Are properly labeled with indication of allergens and storage instructions
- Have expiry dates or minimum durability dates that comply with the law

However, given the fresh nature of the products, we cannot guarantee that the products will retain their organoleptic characteristics beyond the period indicated on the label or beyond the recommended storage time if the indicated storage instructions are not followed.
14. LIMITATION OF LIABILITY
Humus Farm cannot be held liable for:

- Damage resulting from improper use of the products or failure to follow storage instructions
- Allergic reactions or food intolerances not reported by the Customer
- Service interruptions due to force majeure events (weather events, strikes, health emergencies, etc.)
- Indirect or consequential damages

15. PROCESSING OF PERSONAL DATA
The processing of the Customer's personal data is governed by the Privacy Policy available on the website, in compliance with EU Regulation 2016/679 (GDPR). By placing an order, the Customer declares to have read and accepted the Privacy Policy.
16. CHANGES TO THE TERMS AND CONDITIONS
We reserve the right to modify these Terms and Conditions at any time. Changes will take effect from the moment they are published on the website. The Customer is encouraged to regularly check this page for any updates. Continued use of the service after a change constitutes acceptance of the new Terms.
17. GOVERNING LAW AND JURISDICTION
These Terms and Conditions are governed by Italian law. For any dispute relating to the interpretation, performance, or termination of these Terms, the Court of Cuneo shall have exclusive jurisdiction.
Pursuant to EU Regulation No. 524/2013, consumers residing in the European Union may also access the European platform for online dispute resolution (ODR) available at: https://ec.europa.eu/consumers/odr
